Coaching Agreement

Submission of the Coaching Agreement
The Client must ensure the completion and submission of this Coaching Agreement 48 hours before the first scheduled coaching session.
The Client may electronically submit the Agreement by completing the online form.
Description of Coaching
Coaching is partnership (defined as an alliance, not a legal business partnership) between the Coach and the Client in a thought-provoking and creative process that inspires the client to maximise personal and professional potential. It is designed to facilitate the creation/development of personal, professional or business goals and to develop and carry out a strategy/plan for achieving those goals.
About Us and How To Contact Us
We are Clardoon Enterprises, Ltd, a registered company in Scotland (Company Registration Number: SC556789). Our business is located in Aberdeenshire, UK, and we trade under the name "Clardoon Coaching."

Communication Policy: We aim to respond to your messages within 2 working days during our regular business hours, which are Monday to Friday, from 10 am to 5 pm UK time.
For urgent matters when you haven't received a response within 2 working days, kindly send a text message on WhatsApp to +447712451522.
We do not answer unscheduled calls from unknown numbers, and voicemail is not used. If necessary, we can arrange Zoom or WhatsApp meetings or voice calls between our regular sessions, as agreed upon with your Coach.
Client Feedback: If at any point during our sessions, you feel uncomfortable or have concerns about our partnership, please do not hesitate to share your thoughts promptly. Honesty is crucial for our work to be effective, and your feedback is highly valued.
Responsibilities of the Coach
The Coach commits to upholding professional ethics and adhering to high standards of conduct. Throughout this Coaching Agreement, the Coach undertakes to:
1. Provide the Services with diligence and skill, making every effort to promote the Client's interests.
2. Ensure the provision of Services unless unforeseen circumstances, such as illness or injury, prevent it.
3. Promptly inform the Client in the event the Coach becomes unable to deliver the Services due to illness, injury or other unforeseen circumstances.
Responsibilities of the Client
1. The Client affirms they are at least 18 years old and possess the legal authority to enter into this Coaching Agreement.
2.The Client assumes full responsibility for their actions, decisions, choices, well-being, and outcomes during and following Coaching Sessions with the Coach.
3. The Client acknowledges that the coaching process encompasses various aspects of life, including work, family, health, relationships, education, recreation, and spirituality. They agree that managing these life areas remains their exclusive responsibility.
4. The Client recognizes that the Coach and their staff shall not be held liable for any actions or outcomes, whether direct or indirect, resulting from the services provided by the Coach.
5. The Client understands that coaching and the services provided are not a substitute for medical, legal, or financial advice. Should such advice be necessary, the Client commits to seeking guidance from appropriate professionals.
6. The Client acknowledges that any information provided by the Coach does not constitute medical, legal, or financial advice, and the Coach shall bear no responsibility for any financial losses, business interruptions, or missed opportunities.
7. If the Client is currently under the care of a mental health professional, they should promptly inform their mental health care provider about the coaching relationship established with the Coach.
8. In cases requiring medical attention, such as suicidal thoughts, severe depression, anxiety, or other medical conditions, the Client agrees to contact emergency or healthcare services, understanding that the Coach is not responsible for diagnosing or treating medical conditions.
9. Any changes to the Client's diet, sleep, exercise, or lifestyle that necessitate medical consultation should be made under the guidance of a qualified medical practitioner.
10. The Client acknowledges that the results of the services may vary among individuals, and no specific outcomes are guaranteed.
11. The Client accepts sole responsibility for scheduling Coaching Sessions within the agreed time frame, recognizing that results depend on their active participation and honest, open communication, and willing attitude during sessions. This also includes completing any actions agreed upon after Coaching Sessions.
12. To enhance the coaching relationship, the Client agrees to communicate openly, be receptive to feedback, and dedicate time and energy to full participation in the program.
Services
Agreement Commencement and Duration: This agreement, entered into by Clardoon Coaching and the Client becomes effective upon the signing of this Agreement and the receipt of payment. The provision of coaching services will continue for the number of sessions for which payment has been made or until terminated by the Client or Coach.
Coaching Program Format: The parties involved consent to participate in the Coaching Program using Zoom or WhatsApp for video or audio meetings. The Coach will be accessible to the Client through WhatsApp and email in between scheduled meetings, as per the Coach's defined schedule.
Session Expiry: All coaching sessions included in this Agreement must be used within the specified time frame outlined in the selected coaching package (e.g., 3 months or 6 months), beginning from the date the Services were purchased, unless otherwise agreed in writing. Failure to schedule and attend sessions within this period will result in the forfeiture of any remaining unused sessions. Once the agreed time frame has elapsed, the Services will be deemed fully delivered and concluded, regardless of whether all sessions have been utilised.
Schedule and Fees
Session Duration and Payment Terms: The duration of coaching sessions may vary depending on the specific coaching service selected by the Client. In the event that rates change prior to the signing and dating of this agreement, the prevailing rates will apply.
Payment Procedure: Fees for coaching services are required to be paid in advance of each Coaching Session unless an alternative arrangement has been mutually agreed upon. Payment should be made at least 48 hours prior to the scheduled session. You can pay by bank transfer or directly through the website by clicking "BOOK NOW" under your chosen coaching package.
Late Payment and Suspension: If you fail to make the necessary payments for the Services when due and do not submit payment within seven (7) days of our payment reminder, we retain the right to suspend the provision of the Services until all outstanding amounts have been settled. We will notify you in advance regarding the suspension of Services. Additionally, in cases of overdue payments, we reserve the right to charge interest on the outstanding amounts.
Fee Adjustment and Notice: We conduct a yearly review of our fees, typically in January, and provide clients with a minimum of three weeks' notice before implementing any fee adjustments.
Refund Policy
In the event that the coaching program is formally terminated prior to the completion of all scheduled sessions, any unused sessions may be eligible for a partial refund, subject to the terms outlined below.
A 10% administrative fee will be deducted from the total refundable amount to cover administrative time, preparation, and associated costs.

Cancellation, Rescheduling, Tardiness and No-Show Policy
Our commitment to our coaching sessions is unwavering, and we put substantial effort into their preparation. However, we understand that unexpected circumstances may arise. To ensure our coaching experience runs smoothly, here is our policy regarding cancellations, rescheduling, tardiness, and no-shows:
Cancellation and Rescheduling: Clients can cancel or reschedule their booked coaching sessions by using the "Cancellation/Rescheduling" link in the meeting confirmation email from Calendly. Alternatively, you may send a text on WhatsApp or an email. We kindly request a minimum of 24 hours' notice for any cancellation or rescheduling. Failure to do so may result in the forfeiture of the session. This will not apply in the case of sudden illness or emergency.
Missed Appointments: Missed appointments or those cancelled without at least 24 hours' notice will not be eligible for a refund. They will be deducted from the remaining session count. This will not apply in the case of sudden illness or emergency.
Tardiness: Clients are encouraged to be punctual for their coaching sessions. The Client agrees that they will not be entitled to additional coaching time beyond the Booked Coaching Session if they are late. Late arrivals of more than 30 minutes will be considered missed appointments.
Coach's Cancellation: In rare instances, the Coach may need to cancel a session on short notice, and in such cases, no charge will apply. Clients will receive at least three weeks' notice for planned annual leave.
Procedure
The timing of our coaching sessions will be a collaborative effort, with the Coach and Client agreeing on a suitable time slot. The Client can select an available time from the Coach's schedule on Calendly. All meetings will be conducted via Zoom or WhatsApp.
To make the most of our time together, we kindly ask that you come prepared by:
1. Creating a conducive environment for focused discussions.
2. Having a coaching notebook or a designated note-taking space.
3. Ensuring punctuality by logging on time.
4. Being open to sharing your accomplishments from the past week and any challenges you may have faced in pursuing your goals.
Information From You
In preparation for our coaching sessions, we kindly request the following:
1. Submit the Coaching Call Preparation Sheet to us 24 hours prior to our next scheduled call.
2. Feel free to utilise the Coaching Feedback Form as frequently as you'd like, preferably after each coaching session.
Since we conduct our sessions online, it's important to maintain open communication. In the event of technical problems or if you experience any issues connecting online, please send a text message through WhatsApp, or contact us via email.
Please acknowledge our emails. If you don't confirm receipt of our email within 72 hours, we will resend it to ensure you've received it. If we still don't hear from you, we will assume you no longer wish to continue our coaching relationship.
Confidentiality
The Coach acknowledges and respects the confidential nature of the Client's information, whether it pertains to business or personal matters. The Coach is committed to not disclosing any Client information without the explicit written consent of the Client. Furthermore, the Coach will not use the Client's name as a reference without prior consent.
Exceptions to Confidentiality: Confidential Information excludes the following scenarios:
(a) Information that was already in the Coach's possession before the Client shared it.
(b) Information that is publicly known or generally accepted within the Client's industry.
(c) Information obtained by the Coach from a third party, without violating any obligations to the Client.
(d) Information independently developed by the Coach without reference to the Client's confidential data.
(e) Situations where the Coach is legally required to disclose information due to statute or court order.
(f) Disclosures made by the Client that the Coach believes pose an imminent or likely risk of danger or harm to the Client or others.
(g) Cases involving illegal activity.
The Client acknowledges their ongoing responsibility to promptly discuss any confidentiality concerns or questions with the Coach.
Use of Anonymised Data: The Client agrees that the Coach may utilise anonymised versions of Confidential Information shared during the Services. This anonymised data may be used for purposes such as case studies, discussions with supervisors, success stories, marketing, client acquisition, and sales, as long as the identity of the Client remains undisclosed.
Limited Disclosure of Full Name: The Coach will not disclose the full name of the Client unless the Client has provided written authorisation or has left a public review on the Coach's website or related social media platforms.
Limitation of Liability: The Client agrees to hold the Coach harmless in the event of any confidentiality breach resulting from human error, computer misuse, hacking, viruses, trojans, phishing, social engineering, or disclosure under duress.
Release of Information
The Coach engages in training and continuing education pursuing and/or maintaining ICF (International Coach Federation) Credentials. That process requires the names and contact information of all Clients for possible verification by ICF. By selecting "Client Agrees" below, you agree to have only your name, contact information and start and end dates of coaching shared with ICF staff members and/or other parties involved in this process for the sole and necessary purpose of verifying the coaching relationship, no personal notes will be shared.
Optional: Release of your name, contact information and start and end dates of coaching to verify the coaching relationship for maintaining the ICF credentials of the Coach
According to the ethics of our profession, topics may be anonymously and hypothetically shared with other coaching professionals for training, supervision, mentoring, evaluation, and for coach professional development and/or consultation purposes.
Intellectual Property
Recordings: Recording coaching calls is permitted for personal use only. Many clients find value in revisiting these recordings to further develop their ideas, learn new strategies, and track their progress.
Ownership of Coaching Session Recordings: If any recordings, whether in video, audio, or other forms, are produced by the Client and/or Coach during a Coaching Session or initial consultation, the Coach shall exclusively own all intellectual property rights and moral rights to such recordings. The Client shall promptly transfer all such rights to the Coach and shall refrain from releasing, publishing, sharing, copying, transferring, uploading, or broadcasting these recordings to the public or any third party without prior written consent from the Coach.
Indemnification for Breach: In the event of a breach of Intellectual Property by the Client, the Client shall indemnify the Coach for any harm or damage to the Coach's reputation, goodwill, and any ensuing damages arising from or related to said breach. Consequently, the Client shall forfeit the right to use any remaining Session Allowance, and the Coach may exercise the right to terminate the coaching relationship. The client shall not be entitled for a refund.
Data Protection, Record Keeping and GDPR
Client Records: The privacy and confidentiality of your personal information, including your name, address, and phone number, are of utmost importance. Client session Notes are identified only by your first name and the initial letter of your last name.
Access to Records: Clients shall have the opportunity to access their records during regular review sessions with Clardoon Coaching.
Data Retention Period: Clardoon Coaching may retain your records for a period of seven years. After this period, records will be securely destroyed to ensure data protection.
Utilisation of Client Data: Client records are maintained to facilitate effective coaching while you are receiving our services. For statistical purposes, limited anonymised data may be used when reporting to external entities.
Termination Policy
Termination with Notice: The Client or the Coach retains the right to terminate this Agreement by providing a 2-week written notice via email. In the event of termination, the Client agrees to compensate the Coach for all coaching services provided until and including the effective termination date. For detailed information regarding refund eligibility, please refer to the Refund Policy.
Termination by Coach’s Discretion: The Coaching relationship may be terminated or paused at the Coach's discretion when the Coach believes that continuing Coaching services may not be in the Client's best interest.
Termination due to Client's Actions: The Coach holds the right to immediately terminate the relationship without further obligations in the following scenarios:
Termination by the Client: In situations where the provision of Services is delayed due to external factors beyond our control, the following procedures will be adhered to:
Failed Contact: If, despite our reasonable efforts, we are unable to establish contact with the Client, we may decide to conclude the Coaching Agreement.
Limited Liability
The Coach, as described in this Agreement, disclaims any guarantees, representations, or warranties, whether expressed or implied, except as explicitly stated. The Coach assumes no liability for the Coaching services negotiated, agreed upon, and provided. Under no circumstances shall the Coach be held responsible for any indirect, consequential, or special damages incurred by the Client.
The Coach's responsibility, under this Agreement, and the Client's sole recourse shall be restricted to the amount actually paid by the Client to the Coach, in line with the provisions of this Agreement, for all coaching services rendered up to and including the termination date.
Entire Agreement
This document represents the comprehensive agreement between the Coach and the Client, embodying a full comprehension of the subject matter between the parties. This Agreement takes precedence over all previous written and verbal representations. The Agreement may only be amended, modified, or supplemented through written consent, bearing the agreement of both the Coach and the Client.
Dispute Resolution and Applicable Law
Internal Resolution: In the event of a dispute between the Parties, both Parties will make reasonable efforts to resolve any disputes privately. If no agreement is reached, the Parties commit to resolving the dispute through arbitration.
Arbitration: Any dispute related to or arising from this Coaching Agreement, including questions regarding its existence, validity, termination, or any other matter, will be referred to and conclusively settled by a single arbitrator. The Parties acknowledge that the Coach will select the single arbitrator. Arbitration will take place in Scotland, and English will be the language used in the arbitration proceedings.
Arbitration Costs: The Client will bear the initial fees and/or costs required to initiate the arbitration process.
Severability
If any provision of this Coaching Agreement is determined to be ineffective, invalid, illegal or unenforceable by a court or other competent body, it will be severed from the remaining provisions of the Coaching Agreement, and the remaining provisions of the Coaching Agreement will survive.
Waiver
The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this Agreement.
Execution of Coaching Agreement
Full Agreement: This Coaching Agreement may be separately signed by the Client and the Coach. In such cases, the individual copies, when combined, shall constitute the complete Coaching Agreement.
Binding Nature: The Coach and Client mutually consent to the binding nature of this Coaching Agreement, whether executed electronically or by written or verbal agreement. This Agreement is binding upon the parties mentioned herein and extends to their respective successors and allowable assigns.
Electronic Agreement: By affirming these terms electronically, such as via email or by checking the box labeled "I have read the Coaching Agreement and agree to the terms and conditions" and subsequently clicking the "Submit" button, you acknowledge your commitment to abide by the terms of this Coaching Agreement. Scheduling a session with the Coach also implies your consent to adhere to this Coaching Agreement. If you do not concur with the terms of this Coaching Agreement, you must promptly discontinue using the Services and this website.
Amendment Procedure: In the event that either the Client or the Coach wishes to modify this Coaching Agreement, such amendments shall be mutually agreed upon in writing by the Parties.
Follow-Up Assessment & Future Options
Review and Assessment: Upon the completion of the initial Coaching Agreement, we will conduct a comprehensive review and assessment of your results and the personal and professional impact of our coaching relationship.
Mutual Decision: During the follow-up assessment, we will engage in a discussion to mutually determine the most appropriate course of action that will best support you. The following options will be considered:
1. Reset Our Coaching Agreement: Should the Client desire, you may choose to reset the coaching agreement by ordering another coaching programme tailored to your evolving needs and objectives.
2. Take a Break or Conclude the Coaching Relationship: Alternatively, you may decide to take a break or conclude the coaching relationship.

I confirm that I have carefully read and fully understood the terms and conditions outlined in this agreement for coaching services with Clardoon Coaching. I agree to abide by these terms and enter into this coaching partnership willingly and in good faith. I understand that coaching sessions will be conducted via live video or audio using Zoom or WhatsApp. I agree to make payment online or via bank transfer at least 48 hours prior to each scheduled session. I acknowledge and accept the Refund Policy as stated in this agreement.
